Terms of Service

Welcome to AgentBattery (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of all AgentBattery products, including our CRM system, WhatsApp blasting tools, landing page builders, and agent profile pages (“Services”).

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

To use AgentBattery, you must:

  • Be at least 18 years old
  • Provide accurate registration information
  • Have authority to represent your business or agency (if applicable)
  • Comply with all applicable laws, including privacy and marketing regulations

2. Your Account

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Keeping your profile and contact information accurate

We may suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or abusive purposes
  • Send spam, unsolicited messages, or violate WhatsApp’s Terms of Service
  • Upload harmful code, malware, or attempt to circumvent security controls
  • Use the Services to harass, mislead, or exploit any person
  • Scrape, reverse-engineer, or attempt to copy proprietary features
  • Overload or disrupt the system infrastructure

We reserve the right to investigate misuse and take appropriate action.

4. CRM & Contact Data

You may upload contact lists and lead information into the CRM or WhatsApp blasting system. You acknowledge that:

  1. You are the data controller of your contacts.

  2. You have obtained all necessary consent and permission to store and contact your leads.

  3. You will comply with all applicable laws, including:

    • Malaysia PDPA
    • GDPR (where applicable)
    • CCPA/CPRA (if contacting California residents)
    • Singapore PDPA
    • Japan APPI
    • China PIPL

We act as your data processor, processing such data only according to your instructions.

5. WhatsApp Blasting & Messaging Rules

By using our WhatsApp-related features, you agree that:

  • You will only send messages to users who have explicitly opted in
  • You will follow WhatsApp’s Business Policies
  • You will not send deceptive or harmful content
  • You are responsible for any regulatory or carrier penalties arising from misuse

AgentBattery is not affiliated with WhatsApp, Meta, or any telecom provider.

We do not guarantee that your WhatsApp session will remain active indefinitely, as WhatsApp may enforce its own security or rate limits.

6. Landing Page Builder & Agent Profile Pages

You are responsible for:

  • All content you publish
  • Ensuring your property details, pricing, and claims are accurate
  • Complying with Malaysian property advertising laws, including BOVAEP guidelines

We may remove content that is illegal, misleading, harmful, or violates these Terms.

7. Intellectual Property

All software, UI design, trademarks, logos, and technology underlying the Services are owned by AgentBattery or our licensors.

You may not:

  • Copy or reproduce any part of the Services
  • Create derivative works
  • Resell or sublicense without permission

You retain ownership of the content and data you upload.

8. Payments & Billing (If applicable)

If your subscription includes paid plans:

  • Fees are billed in the currency and interval shown at checkout
  • By subscribing, you authorize us to charge your selected payment method
  • Payments are non-refundable unless required by law
  • Late or failed payments may result in suspension of service

9. Service Availability & Updates

We aim to provide reliable and continuous service, but:

  • We do not guarantee 100% uptime
  • Features may change over time
  • Scheduled maintenance may temporarily limit access
  • We may update or discontinue features as needed

We are not liable for outages caused by third-party providers (e.g., WhatsApp, cloud hosting).

10. Third-Party Services

Our Services may rely on or integrate with third parties, such as:

  • WhatsApp / Meta
  • Google (Sheets, OAuth, APIs)
  • Supabase
  • Vercel
  • Payment processors

We are not responsible for failures or changes introduced by external services.

11. Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Misuse the platform
  • Engage in unlawful activities
  • Fail to pay subscription fees (if applicable)

Upon termination:

  • Access to your account and data may be restricted
  • You may request data export within a reasonable period

12. Limitation of Liability

To the maximum extent permitted by law:

  • AgentBattery is not liable for indirect, incidental, or consequential damages
  • We are not liable for message delivery failures or WhatsApp enforcement actions
  • Our total liability is limited to the fees paid by you in the past 12 months

This limitation applies even if we have been advised of possible damages.

13. Indemnification

You agree to defend and indemnify AgentBattery against claims arising from:

  • Your misuse of the Services
  • Violations of privacy or messaging laws
  • Disputes with your customers or leads
  • Content you publish or messages you send

14. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes will be handled in Malaysian courts.

15. Changes to These Terms

We may update these Terms periodically. Significant changes will be communicated via email or app notification. Continued use of the Services means you accept the updated Terms.
